1. Introduction

These Terms of Service ("Terms") govern your use of the website and services provided by MELIQ LABS LLC ("MELIQ LABS," "we," "us," or "our"), a limited liability company registered in the State of Wyoming, United States.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Services

MELIQ LABS provides professional digital development services, including but not limited to:

• Custom website design and development
• Mobile application development (native and cross-platform)
• Admin panel and dashboard development
• Search engine optimization (SEO)
• Ongoing maintenance and technical support

The specific scope, deliverables, timeline, and cost of each project are defined in a separate project proposal or service agreement provided to the client before work begins.

3. Intellectual Property

3.1 Client Content

You retain full ownership of all content, assets, branding materials, text, images, and data that you provide to us for use in your project. MELIQ LABS does not claim any ownership over your content.

3.2 Developed Work

MELIQ LABS retains ownership of all source code, designs, and technical implementations developed during the project until full payment has been received. Upon receipt of complete payment as specified in the project agreement, ownership of the custom-developed work transfers to the client.

3.3 Attribution

MELIQ LABS reserves the right to place a discreet "Built by MELIQ LABS" signature or credit in the footer or an inconspicuous area of the delivered project, unless explicitly agreed otherwise in the project agreement. We also reserve the right to feature the project in our portfolio with your consent.

4. Payment Terms

Payment terms, including amounts, milestones, and deadlines, are outlined in the project proposal or service agreement provided to each client. General payment conditions include:

• A deposit may be required before work commences, as specified in the project agreement.
• Milestone payments may be required at specified stages of the project.
• Final payment is due upon project completion and before deployment to production, unless otherwise agreed.
• Late payments may result in project delays or suspension of services until outstanding balances are resolved.

5. Client Responsibilities

To ensure timely and successful delivery of your project, you agree to:

• Provide all required content, assets, and feedback within agreed timelines.
• Designate a primary point of contact for project communication.
• Review and approve deliverables within a reasonable timeframe.
• Ensure that all content you provide does not infringe any third-party intellectual property rights.

6. Limitation of Liability

To the maximum extent permitted by applicable law, MELIQ LABS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services or website.

Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to such claim.

MELIQ LABS is not responsible for any losses resulting from third-party services, hosting providers, domain registrars, or external integrations, even if recommended by us.

7. Warranty Disclaimer

Our services are provided "as is" and "as available." While we strive for the highest quality in every project, MELIQ LABS makes no warranties, express or implied, regarding the uninterrupted or error-free operation of any delivered product. We do, however, provide support and bug fixes during the support period specified in your project agreement.

8. Termination

Either party may terminate a project engagement by providing written notice. In the event of termination:

• The client is responsible for payment for all work completed up to the date of termination.
• MELIQ LABS will deliver all completed work product upon receipt of outstanding payments.
• Any advance payments for undelivered work may be refunded on a pro-rata basis, at our discretion.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Wyoming, USA.

10. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Continued use of our services after such changes constitutes acceptance of the revised Terms.
